The terms that govern your use of our website and your purchase of CGG Schmidt products.

These Terms and Conditions (“Terms”) govern your access to and use of https://cggschmidt.com (the “Site”) and any purchase of products from Charles G.G. Schmidt & Co., Inc. (“CGG Schmidt,” “we,” “us,” or “our”). By using the Site or placing an order, you agree to these Terms. Please read them carefully.

1. Acceptance of Terms

By accessing the Site, creating an account, or placing an order, you confirm that you are at least 18 years old and able to enter into a binding contract, and you agree to be bound by these Terms and our Privacy Policy. If you do not agree, please do not use the Site.

2. Products, Pricing, and Availability

• Prices and specifications are subject to change without notice.
• A minimum order of $30.00 applies to all orders.
• We make every effort to display products and specifications accurately, but we do not warrant that descriptions, images, or other content are error-free.
• All products are subject to availability, and we reserve the right to limit quantities or discontinue any product.

3. Orders and Acceptance

Your submission of an order is an offer to purchase. All orders are subject to acceptance by CGG Schmidt, and we reserve the right to refuse or cancel any order at our discretion, including in cases of suspected error, fraud, or unavailability. A contract is formed only when we accept your order and begin processing it.

4. Payment Terms

We accept the following payment methods:

• Cash
• COD (Cash on Delivery)
• Credit card
• Net 30 days upon credit approval

Net 30 terms are available only to customers approved for credit by CGG Schmidt. We reserve the right to require prepayment or to revoke credit terms at any time. Past-due balances may be subject to finance charges to the extent permitted by law.

5. Shipping, Title, and Risk of Loss

All orders are shipped FOB Montvale, NJ. Shipping and handling charges are added to the invoice. Ownership of and risk of loss for the products pass to the buyer at the time the goods are delivered to the freight carrier. For full details, please see our Shipping Policy.

6. Cancellations

• Standard orders may be cancelled without charge before shipping.
• Special orders may be cancelled, but a cancellation charge will apply based on the status of your order and the expenses incurred by CGG Schmidt at the time of cancellation.

To request a cancellation, contact us as soon as possible using the information below.

7. Returns and Restocking

Standard items may be returned subject to a 15% restocking charge and prior written approval. Custom and special-order items are generally non-returnable. Full details, including how to request a return and how refunds are processed, are described in our Refund & Return Policy.

8. Limited Warranty

All Charles G.G. Schmidt & Co. tools are warranted against defects in workmanship and material for 90 days from the date of delivery. Any product found to be defective may be returned with prior written approval. If the product is found to be defective upon our analysis, it will be repaired or replaced at our discretion. This warranty does not cover normal wear, misuse, improper installation or operation, alteration, or damage caused by factors beyond our control.

9. Limitation of Liability

To the fullest extent permitted by law, CGG Schmidt’s total liability arising out of or related to any product or these Terms shall not exceed the amount you paid for the product giving rise to the claim. CGG Schmidt shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits or downtime, even if advised of the possibility of such damages. Cutting tools can be dangerous; you are responsible for proper installation, guarding, and safe operation in accordance with manufacturer and machine instructions and applicable safety regulations.

10. User Accounts

If you create an account, you are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us immediately of any unauthorized use. We may suspend or terminate accounts that violate these Terms.

11. Acceptable Use

You agree not to use the Site for any unlawful purpose, to interfere with its operation or security, to attempt unauthorized access, to scrape or harvest data, or to introduce malicious code. We use Google reCAPTCHA and other measures to protect the Site from abuse.

12. Intellectual Property

All content on the Site — including text, product images, catalogs, logos, the CGG Schmidt and SCHure-Lock names, and designs — is the property of CGG Schmidt or its licensors and is protected by intellectual property laws. You may not copy, reproduce, or use this content without our prior written permission.

13. Third-Party Links

The Site may contain links to third-party websites or services. We are not responsible for the content, products, or privacy practices of those third parties, and links do not imply endorsement.

14. Governing Law

These Terms and any dispute arising out of or relating to them or your use of the Site or purchase of products shall be governed by the laws of the State of New Jersey, without regard to its conflict-of-laws rules. You agree to the exclusive jurisdiction of the state and federal courts located in New Jersey.

15. Changes to These Terms

We may revise these Terms from time to time. Changes take effect when posted, and we will update the “Last Updated” date above. Your continued use of the Site or placement of orders after changes are posted constitutes acceptance of the revised Terms.
